Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “Host”) and innbu Ltd (“innbu”, “we”, “us”, or “our”), a company registered in the United Kingdom. By accessing or using the innbu platform, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Description of service

innbu is an AI-powered property management platform designed for short-term rental hosts. Our service includes:

  • AI agents that handle guest messaging, cleaning coordination, pricing optimisation, compliance, and other operational tasks on your behalf
  • A dashboard for monitoring and managing your properties, bookings, and AI agent activity
  • Integration with third-party platforms including OTAs (Airbnb, Booking.com, VRBO), messaging channels (WhatsApp, SMS, email), and payment processors
  • Knowledge base and learning capabilities that adapt to your property and hosting style over time

3. AI agent functionality

You acknowledge and agree that:

  • innbu’s AI agents are tools designed to assist with property management. They are not a replacement for human judgment, and you remain responsible for all decisions related to your properties and guests.
  • AI-generated responses and actions may contain errors. You should review AI activity regularly, especially during the initial supervised period.
  • You can configure the level of autonomy granted to AI agents, from fully supervised (all actions require your approval) to autonomous (agents act independently within defined guardrails).
  • innbu is not liable for actions taken by AI agents that you have authorised to operate autonomously.
  • AI agents process guest messages and data within your isolated tenant environment. Your data is not shared with or accessible to other subscribers.

4. Account creation and security

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorised access to your account.
  • You must be at least 18 years old and have the legal authority to enter into these Terms.
  • One person or business entity may maintain only one active account unless otherwise agreed in writing.

5. Acceptable use

Your use of innbu is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.

6. Subscription and billing

  • innbu operates on a subscription basis. Pricing, features, and plan tiers are as described on our website and may be updated from time to time.
  • Subscriptions are billed monthly or annually in advance, depending on the plan you select.
  • All prices are quoted in GBP and are exclusive of VAT unless otherwise stated.
  • Payment is processed securely via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.
  • If payment fails, we will attempt to charge your payment method again. After repeated failures, your account may be suspended.
  • We reserve the right to change pricing with 30 days’ notice. Price changes will take effect at your next billing cycle.

7. Free trials and early access

We may offer free trials or early access periods at our discretion. At the end of a trial period, your account will convert to a paid subscription unless you cancel before the trial expires. We will notify you before any charges apply.

8. Cancellation and refunds

  • You may cancel your subscription at any time through your account settings or by contacting us.
  • Cancellation takes effect at the end of your current billing period. You will retain access to the platform until then.
  • We do not offer pro-rata refunds for partial billing periods.
  • Upon cancellation, your data will be retained for 30 days in case you wish to reactivate. After 30 days, your data will be permanently deleted.
  • You may request an export of your data before cancellation takes effect.

9. Intellectual property

The innbu platform, including its software, AI models, design, branding, documentation, and all related intellectual property, is owned by innbu Ltd and protected by UK and international intellectual property laws.

  • We grant you a limited, non-exclusive, non-transferable licence to use the platform for the duration of your subscription.
  • You retain ownership of all data you input into the platform, including property information, guest data, and custom templates.
  • You grant us a licence to process your data solely for the purpose of providing our services to you.
  • You may not reverse-engineer, decompile, or create derivative works based on our platform.

10. Third-party integrations

innbu integrates with third-party services (OTAs, messaging platforms, payment processors, etc.). Your use of these integrations is subject to the respective third party’s terms and conditions. We are not responsible for the availability, accuracy, or conduct of any third-party service. If a third-party service experiences downtime, our platform will queue pending actions and process them when the service is restored.

11. Service availability

  • We aim to provide 99.9% uptime but do not guarantee uninterrupted service.
  • We may perform scheduled maintenance with reasonable advance notice.
  • We are not liable for service interruptions caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.

12. Limitation of liability

To the maximum extent permitted by law:

  • innbu’s total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost bookings, lost revenue, or reputational damage.
  • We are not liable for the actions or omissions of AI agents that you have authorised to operate autonomously.
  • We are not liable for losses arising from your failure to review AI-generated content before it is sent to guests.

13. Indemnification

You agree to indemnify and hold harmless innbu Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or regulation.

14. Data protection

Our collection and use of personal data is governed by our Privacy Policy. As a host using innbu, you act as a data controller for guest personal data and are responsible for ensuring your use of our platform complies with applicable data protection laws, including the UK GDPR.

15. Termination

  • We may suspend or terminate your account immediately if you breach these Terms, the Acceptable Use Policy, or any applicable law.
  • We may terminate your account with 30 days’ notice for any other reason.
  • Upon termination, your access to the platform will cease and your data will be handled in accordance with our Privacy Policy.
  • Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

16. Dispute resolution

In the event of a dispute, we encourage you to contact us first at legal@innbu.com to seek an informal resolution. If we are unable to resolve the dispute informally within 30 days, either party may pursue formal legal proceedings.

17. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.

18. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on our platform at least 30 days before the changes take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
